Banking & Finance

■ 2020 - date: Developing compliance manuals for Banks, Microfinances, Payment Service Providers, Money Remittance Operators and Digital Lenders and advising on the registration of PSPs, MROs and Digital Lenders.

■ 2019: Assisted the largest Kenyan mortgage finance company to transfer security properties to itself through public auction in exercise of its statutory remedies

■ 2019: Acted for the largest Kenyan bank by branch network in the exercise of its statutory remedies on a multi-billion-shilling facility; and undertook a security review of the bank’s top ten facilities worth multi-billion shillings

■ 2018 – 2020: Acted for the largest Kenyan bank by customer base on term loans advanced to a Tanzanian mining company and a Tanzanian real estate company, with the bank’s Tanzanian subsidiary acting as security trustee

■ 2018 – 2019: Undertook financial due diligence on a parastatal in the aviation sector in Kenya pursuant to a Privately Initiated Investment Proposal under the Public Private Partnerships Act, 2013

■ 2018: Advised a Pan African lender on a KES.4B facility to a public entity governed by the Constitution of Kenya, 2010, the Public Finance Management Act, 2012, and the County Government Act, 2012

Real Estate

■ 2023: Currently advising on the acquisition of a front row beachfront property by a foreign entity.

■ 2023: Currently assisting a real estate investor to pursue the gazettement and conversion of title to the official National Land Information Management System, Ardhisasa and handling titling formalities for over 270 subtitles off Kang’undo Road

■ 2017 - 2020: Advised the real estate developer of a 5,000-acre mixed use and master planned development in a special economic zone in Ruiru, Kiambu County on sales of industrial property

■ 2017 – 2020: Advised the real estate developer of a 400-acre mixed use and master planned development in Limuru, Kiambu County on sales of industrial property

■ 2011 – 2013: Advised a real estate developer of Greenpark Estate on structuring Greenpark Estate, a mixed use and master planned residential development comprising 1,000 units

■ 2013 – 2017: Acted for a real estate developer in perfecting over 100 commercial leases for a local mall along Mombasa Road with a lettable area of approximately 200,000ft2.

Commercial and Corporate

■ 2023: Currently representing shareholders of a holding company in procuring the reversal of the fraudulent restructuring of their entity by the Business Registration Services.

■ 2022: Advised a local supplier of retail supply (B2C) of household security systems on its incorporation of a subsidiary company in Ghana.

■ 2021: Undertook drafting, review and negotiation of a Call Option Agreement valued at the sum of United States Dollars Thirty-Five Million (USD35,000,000.00) and British Pound Sterling Ten Million (GBP10,000,000.00), relating to the proposed acquisition of controlling stake in a payment solution provider by an international institutional investor.

■ 2019: Advised, gratis, on a contentious handover of company secretarial functions for Gems Management Limited, a public limited liability management company comprising 600 homeowners.

■ 2018: Undertook financial due diligence on a parastatal in the aviation sector in Kenya pursuant to a Privately Initiated Investment Proposal (PIIP) under the Public Private Partnerships Act, 2013.
